Since 2014, Nogle has adopted a strategy of diversification with both incubator and VC fund functions. We have launched two venture capital funds to invest in various early-round tech companies around the world. Our main goal is to assist tech startups in their growth, buildup and management of their corporate, legal, risk management, global compliance, fundraising activities, and market expansion across Asia, Middle East, Europe and America.
We are looking for Legal Counsel and this position will be based in Taipei. You will be responsible for providing broad-based legal and compliance-related support to various business functions of and investment by the company in a global scale. You will intensively get involved in international projects and work closely with the business team, global colleagues, and outside counsel from different countries. You are expected to play a role of an effective business enabler to handle day-to-day contract review and legal advice to support the rapid business growth of the company.
1.Draft, review, negotiate and advise on a wide range of contracts (majorly in English) such as investment, partnership, shareholders, licensing, employment, marketing, and various services agreements, as well as other legal documents that arise from the day-to-day operation of the business.
2.Identify, research, develop, and analyze company policies, regulatory change, compliance requirements, and general legal and risk management issues related to the company’s business on a global scale.
3.Assist in license application regarding financial services business in different jurisdictions.
4.Manage outside counsel engagements and liaise with them on a project or regulatory basis.
5.Provide research on and coordination of establishing operations in new territories and markets.
6.Assist in corporate secretarial and corporate governance matters for the company, its overseas subsidiaries or affiliates, and its portfolio companies.
7.Conduct due diligence during the investment process.
8.Manage the patents and trademarks of the company.
9.Perform any other tasks assigned by the Head of Legal.
1.LL.M. degree from a recognized university in a Common Law country.
2.Proficiency in spoken and written English.
3.Ability to work independently in a fast-paced environment with good judgment, maturity, and flexibility.
4.Attention to details and good interpersonal skills.
5.Well-organized and able to manage and execute numerous projects simultaneously in a timely manner.
6.Passion for learning fintech/startup industry, relevant business models, international regulatory framework, and compliance guidelines.
1.Passing either the Taiwan bar exam or the US bar exam.
2.Experience at a law firm handling general corporate, investment, transaction, and employment law matters.
