About the Role
Matahari is seeking an experienced and highly motivated professional to join our team as Head of Legal. This role is crucial in ensuring that the company’s operations, transactions, and strategic initiatives comply with all applicable laws and regulations. As Head of Legal, you will act as a trusted advisor to management, oversee all legal matters, and safeguard the company’s interests.
Key Responsibilities
Provide expert legal advice and guidance on business contracts, corporate transactions, and compliance matters.
Draft, review, and negotiate agreements, ensuring favorable terms and risk mitigation.
Manage and advise on corporate actions, including mergers, acquisitions, capital markets, and other strategic initiatives.
Oversee legal aspects of governance, regulatory requirements, and company policies.
Arrange and facilitate Board of Management meetings, ensuring compliance with governance standards.
Draft and prepare Annual Report and Sustainability Report in alignment with regulatory and stakeholder requirements.
Arrange and manage the Annual General Meeting of Shareholders (AGMS) in compliance with laws and company articles of association.
Build and maintain strong working relationships with external stakeholders including OJK, IDX, external counsel, notaries, and regulators.
Manage relationships with law firms and external advisors to ensure effective and cost-efficient legal support.
Anticipate potential legal risks and proactively provide solutions to support business decisions.
Support management and business units by providing practical, business-oriented legal advice.
Qualifications
Male/Female.
Minimum Bachelor’s Degree in Law from a reputable university (Master’s Degree or professional certification is a plus).
At least 7 years of professional legal experience, preferably within corporate legal departments or law firms handling retail, consumer business, or listed companies.
Proven experience in arranging Board of Management meetings, preparing Annual Reports/Sustainability Reports, and managing AGMS.
Experience working in or with a public company is highly desirable.
Strong knowledge and experience in reviewing agreements, handling corporate actions, and regulatory compliance.
In-depth understanding of Indonesian corporate law, capital market regulations, and governance practices.
Excellent communication, negotiation, and presentation skills in both Bahasa Indonesia and English.
Strong leadership, analytical thinking, and ability to manage multiple priorities under tight deadlines.
Integrity, high attention to detail, and a proactive problem-solving mindset.
Willing to be based at Matahari Headquarters in Lippo Karawaci.
