About the Role
PT E-System Solutions Indonesia is looking for an experienced Legal Manager to lead and manage the company's legal and corporate legal matters. This is a standalone legal role, making it suitable for a legal professional who is comfortable working independently and handling a broad range of corporate, commercial, employment, and government-related legal matters.
Key Responsibilities
- Draft, review, negotiate, and manage commercial and corporate contracts in both Bahasa Indonesia and English.
- Handle contracts and legal matters involving government ministries, agencies, and state-owned entities.
- Manage business-to-business agreements, including supply and distribution agreements, agency and representation agreements, subcontracting agreements, service agreements, framework agreements, NDAs, and teaming agreements.
- Manage corporate secretarial matters, including notarial deeds (akta), Ministry of Law and Human Rights (Menkumham) approvals, OSS/NIB licensing, business permits, shareholder and board meetings, resolutions, minutes, and company books.
- Provide legal advice related to employment matters, including PKWT/PKWTT agreements, termination and severance calculations, BPJS obligations, and company regulations.
- Manage and coordinate dispute and pre-litigation matters, including liaising with external counsel, settlement negotiations, and preparation of the company's legal and evidentiary position.
- Coordinate with notaries, government authorities, ministries, and licensing agencies as required.
- Provide practical legal advice to management and other departments on day-to-day business matters.
Requirements
- Bachelor's degree in Law (S.H.) from an accredited university in Indonesia.
- Minimum 5 years of post-qualification legal experience.
- At least 2 years of experience in an in-house legal role or providing ongoing legal support to corporate clients.
- Indonesian nationality.
- Strong experience in corporate and commercial legal matters.
- Experience handling government contracts and/or public-sector contracts.
- Good understanding of Indonesian corporate and employment law.
- Strong contract drafting and negotiation skills in both Bahasa Indonesia and English.
- Fluent written and spoken English and comfortable communicating with a non-Indonesian-speaking parent company.
- Able to work independently and manage multiple legal matters simultaneously.
- Strong communication, analytical, negotiation, and problem-solving skills.
Preferred Qualifications
- PERADI advocate license is an advantage.
- Experience in a regulated manufacturing or engineering environment.
- Experience working with a foreign-owned/foreign parent company or multinational group.
- Background in notarial practice is an advantage.
