A. Legal Management
Corporate Legal
- Draft, review, negotiate, and manage all legal agreements and contracts.
- Review partnership agreements, vendor agreements, technology agreements, and commercial contracts.
- Ensure legal protection of company interests in all contractual arrangements.
- Maintain company legal documents and corporate records.
- Manage legal documentation related to licensing and regulatory requirements.
- Coordinate legal matters related to shareholders, Board of Directors, and corporate governance.
- Provide legal opinions and recommendations to management.
- Monitor legal developments impacting crypto, fintech, and digital asset industries.
- Review new business initiatives from a legal perspective.
- Support strategic projects, investments, and partnerships.
Regulatory Legal Review
- Review all products, services, marketing materials, and business initiatives to ensure compliance with applicable regulations.
- Provide legal assessment regarding new crypto products and features.
- Review terms and conditions, privacy policies, risk disclosures, and customer agreements.
- Ensure legal documentation complies with OJK requirements.
- Review outsourcing agreements and third-party service provider arrangements.
- Conduct legal due diligence on strategic business partners.
Legal Dispute Management
- Handle legal disputes, complaints, and claims involving the company.
- Coordinate with external legal counsel and regulators.
- Support litigation and dispute resolution processes.
- Manage legal risk mitigation plans.
- Monitor potential legal exposure and emerging legal risks.
- Maintain legal case records and documentation.
B. Compliance Management
Regulatory Compliance
- Ensure compliance with OJK regulations and digital financial asset regulations.
- Monitor implementation of POJK and applicable regulatory requirements.
- Develop compliance monitoring programs across all departments.
- Conduct compliance assessments and reviews.
- Coordinate regulatory reporting submissions.
- Maintain regulatory compliance registers.
- Monitor changes in laws and regulations impacting the company.
- Ensure timely implementation of new regulatory requirements.
- Coordinate communication with regulators.
- Support regulatory inspections and examinations.
Governance & Internal Compliance
- Develop and maintain company policies and procedures.
- Ensure policies align with OJK governance requirements.
- Monitor implementation of internal controls.
- Promote compliance culture throughout the organization.
- Conduct periodic compliance testing and monitoring.
- Monitor policy violations and recommend corrective actions.
- Establish compliance awareness programs.
- Ensure proper documentation and record retention.
Consumer Protection Compliance
- Ensure compliance with consumer protection regulations.
- Review customer complaints handling procedures.
- Monitor complaint resolution effectiveness.
- Ensure customer communication complies with regulatory standards.
- Review disclosures and transparency requirements.
- Monitor customer protection risks.
- Coordinate consumer protection reporting.
C. AML, CFT & Sanctions Compliance
Anti-Money Laundering (AML)
- Develop and maintain AML/CFT policies and procedures.
- Ensure compliance with AML regulations and risk-based approaches.
- Monitor AML controls implementation.
- Conduct AML compliance reviews and testing.
- Oversee suspicious transaction monitoring processes.
- Coordinate suspicious transaction reporting.
- Support customer due diligence and enhanced due diligence processes.
- Monitor AML regulatory developments.
- Coordinate AML audits and examinations.
Sanctions & Screening
- Ensure customer screening processes comply with applicable requirements.
- Oversee sanctions screening activities.
- Monitor PEP and adverse media screening controls.
- Review escalated screening alerts.
- Ensure sanctions compliance procedures remain effective.
D. Risk & Compliance Monitoring
- Identify legal, regulatory, and compliance risks.
- Conduct compliance risk assessments.
- Develop risk mitigation plans.
- Monitor key compliance indicators and risk metrics.
- Maintain compliance dashboards and reporting.
- Support enterprise risk management initiatives.
- Escalate significant compliance risks to management.
- Recommend corrective and preventive actions.
- Monitor remediation progress.
E. Regulatory Affairs
- Serve as primary liaison with OJK regarding legal and compliance matters.
- Coordinate responses to regulatory inquiries.
- Support licensing and registration requirements.
- Manage regulatory submissions and approvals.
- Monitor compliance obligations under company licenses.
- Coordinate regulator meetings and inspections.
- Ensure timely submission of required reports.
- Maintain strong relationships with regulatory stakeholders.
F. Internal Audit & Governance Support
- Support Internal Audit and external audit activities.
- Monitor closure of audit findings.
- Track corrective action implementation.
- Coordinate compliance reviews with Internal Audit.
- Support governance committee activities.
- Prepare compliance reports for management and Board of Directors.
- Monitor governance effectiveness and regulatory readiness.
