Job description for Legal Manager at Verdant Energy

Job Responsibilities:

Corporate Legal & Governance

Provide legal advice on corporate structuring, governance, and group entity management in Singapore.

Ensure compliance with Singapore corporate laws, including company registration, licensing, and statutory filings (Accounting and Corporate Regulatory Authority requirements).

Support board meetings, shareholder resolutions, and maintenance of statutory records.

Provide Singapore law employment and regulatory advice.

Commercial Contracts Management

Draft, review, and negotiate a wide range of commercial agreements, including service agreements, supply contracts, NDAs, and term sheets.

Ensure contractual terms align with legal requirements and company risk policies.

Project & Energy-Related Legal Support

Provide legal support for renewable energy project agreements, including Power Purchase Agreements (PPAs), EPC contracts, and O&M agreements.

Review and advise on contractual risks and regulatory requirements related to project execution.

Collaborate with project, engineering, and commercial teams to ensure legal alignment.

Mergers & Acquisitions (M&A) & Project Finance

Support M&A transactions, including due diligence, structuring, transaction documentation, and post-completion integration.

Advise on project finance arrangements, including financing documents, security packages, and lender requirements.

Coordinate with financial advisors, lenders, and external counsel throughout transaction lifecycles.

Dispute Resolution & Legal Advisory

Manage disputes, claims, and potential litigation in coordination with external counsel.

Provide strategic legal advice to minimize risk exposure and support business decision-making.

Cross-Functional & Strategic Support

Work closely with internal teams including Finance, HR, Business Development, and Project Development.

Support mergers & acquisitions, joint ventures, and regional strategic initiatives as required by Group Legal.


Requirements:

Bachelor’s degree in Law (LLB or equivalent); admission to the Singapore Bar is preferred.

Minimum of 5-7 years of proven experience in corporate law, M&A, project finance, preferably within the renewable energy, infrastructure, or power sector.

With 2-5 years of experience in Law Firm Industry is an advantage.

Strong understanding of Singapore legal and regulatory frameworks.

Experience handling cross-border transactions in Southeast Asia is an advantage.

Experience in drafting and negotiating complex commercial agreements (EPC, PPA, JV, financing documents)

Familiarity with Singapore legal and regulatory framework.

Strong analytical, negotiation, and communication skills.

Ability to work independently and manage multiple stakeholders.
