This role offers an exciting opportunity to join a growing investment and asset management platform supporting fund structuring, governance, compliance, and financial oversight across Variable Capital Companies (VCCs), sub-funds, and Special Purpose Vehicles (SPVs).

You will be responsible for leading legal and structuring matters relating to investment funds and related entities, including the drafting, review, and negotiation of key legal documentation such as offering memoranda, subscription agreements, shareholder agreements, investment management agreements, financing documents, and investor-related materials. The role also involves advising on fund structuring, investor arrangements, and cross-border legal considerations while coordinating with external counsel on fund launches, SPV incorporations, and restructuring exercises.

In addition, you will support compliance and regulatory matters within the Monetary Authority of Singapore (MAS) environment, including CMS license obligations, AML/CFT controls, KYC processes, investor onboarding, and regulatory reporting requirements. You will also assist in regulatory inspections, audits, and internal compliance reviews to ensure adherence to Singapore fund regulations and governance standards.

The position will also provide oversight across selected fund accounting and finance functions in collaboration with fund administrators and external advisors. This includes reviewing NAV calculations, capital calls, investor reporting, financial statements, audit coordination, and ensuring consistency between financial reporting and underlying fund structures and legal documentation.

You will work closely with senior management, external legal counsel, corporate secretarial providers, fund administrators, auditors, tax advisors, and banking partners on a broad range of legal, operational, and governance matters. The role will also involve coordinating board and shareholder meetings, preparing resolutions, and maintaining governance standards across multiple entities.

This position is ideal for a legal and compliance professional with 5–10 years of experience in asset management, investment funds, or professional services, particularly within MAS-regulated environments. Candidates should possess strong familiarity with VCC structures, Singapore fund regulations, fund governance, and working knowledge of fund accounting and financial reporting standards.
