Job description for Shareholder Representative at Haiyetong

Job Opportunity: Shareholder Representative (Jakarta, Indonesia)

Location: Jakarta, Indonesia

Position Type: Full-time | On-site

Reporting Line: Chinese Shareholder / Board of Directors

Industry: Energy / Oil & Gas / Industrial Gases (LNG Supply Chain)

About Us

SPM is an energy joint venture specializing in integrated LNG and industrial gas supply chain infrastructure and services. Our operations span LNG procurement, bulk storage, and end-to-end distribution—with a core focus on LNG dewar flask/micro-bulk cylinder supply chain solutions.

As we embark on a pivotal phase of operational scaling and business transition, we are seeking a seasoned, bilingual Shareholder Representative stationed in Jakarta. In this high-impact executive governance role, you will act as the principal on-the-ground delegate for the Chinese shareholder, ensuring operational continuity, protecting investor interests, and facilitating seamless alignment between local operations and the Board.

Key Responsibilities

Shareholder Representation & Corporate Governance

Serve as the resident representative and principal liaison for the Chinese shareholder on the ground in Jakarta.

Represent shareholder interests at board meetings, executive committees, and partner review sessions.

Ensure local joint venture practices remain fully aligned with shareholder resolutions, JV agreements, and strategic mandates.

Operational Oversight & Transition Management

Supervise day-to-day operations during the company’s transition phase to ensure operational stability and safety standards.

Monitor major engineering, procurement, logistics, and supply-chain initiatives—identifying risks, operational bottlenecks, or project delays early.

Provide objective performance assessments of local executive management to the Board.

Financial Supervision & Capital Controls

Oversee budgeting, capital allocation, cash-flow disbursements, and project-level CapEx/OpEx spending.

Safeguard shareholder assets by reviewing financial statements, internal control mechanisms, audit trails, and fund security.

Prevent fund leakage, unauthorized expenditures, and compliance drift.

Stakeholder Engagement & Government Relations

Cultivate constructive working relationships with local JV partners, government authorities, industry regulators (e.g., ESDM, SKK Migas), and key industrial off-takers.

Support commercial negotiations, major contract reviews, and dispute resolution where shareholder input is required.

Risk Management & Legal Compliance

Monitor local regulatory and statutory developments affecting foreign investment, hazardous goods (B3) transport, and industrial energy operations in Indonesia.

Proactively assess corporate, legal, and operational risks, providing strategic mitigation counsel to HQ.

Executive Reporting & HQ Communications

Establish structured, real-time reporting cadences with the Board and overseas shareholder teams.

Deliver timely, data-backed briefs on operational KPIs, financial performance, market dynamics, and critical ground-level developments.

Qualifications & Requirements

Essential:

Bilingual Proficiency: Full professional working proficiency in Mandarin Chinese and Bahasa Indonesia (both spoken and written) is strictly required to liaise effectively between Chinese headquarters and Indonesian counterparts.

Education: Bachelor's degree or above in Business Administration, Finance, Energy Engineering, International Trade, or Corporate Law.

Joint Venture & Investment Track Record: Proven track record (7+ years) in joint venture oversight, cross-border corporate governance, or senior operational leadership within Sino-Indonesian enterprises.

Indonesian Market Acumen: Deep familiarity with Indonesia’s commercial practices, corporate governance standards (PT company law), labor framework, and general regulatory landscape.

Integrity & Diplomacy: High ethical standards, strong fiduciary mindset, and the diplomatic poise needed to bridge cultural and organizational divides.

Preferred / Advantageous:

Prior executive or management experience in the LNG, downstream natural gas, cryogenic logistics, or industrial gas sector.

Working knowledge of English & Mandarin

Strong existing network across Indonesia's energy sector or industrial manufacturing ecosystem.

What We Offer

Competitive Compensation: Highly competitive remuneration package (negotiable based on experience), comprising a base salary, performance-driven annual bonus, and long-term incentive incentives.

Comprehensive Benefits: Comprehensive health coverage, relocation/housing allowance (if applicable), and operational allowances.

Direct Strategic Impact: Direct line of communication with key shareholders and board-level decision-makers.

Cross-Border Leadership: A high-visibility leadership platform at the center of Southeast Asia's dynamic energy transition.
