Job description for In House Legal Counsel at Quantum Power Asia

Introduction:

Quantum Power Asia is an Independent Power Producer that develop Giga-Scale renewable energy projects across Asia. We accelerate the deployment of Solar PV based clean energy solutions through acquisitions, strategic partnerships and greenfield developments. Our work is helping the region meet its challenge of greening its energy footprint and expanding sustainable electrification for all.

We are seeking a highly skilled and experienced In-House Legal Counsel to join our team. As the In-House Legal Counsel, you will play a pivotal role in providing legal advice and support to the Managing Director and CEO, ensuring compliance with regulatory frameworks, managing legal risks, and supporting the growth of our renewable energy business. This is an excellent opportunity for a seasoned legal professional to contribute to the success of a leading player in the solar energy industry.

Responsibilities:

  • Legal Advisory and Support:
  1. Act as an advisor to the Managing Director and CEO, providing legal support and insights on board-level engagements.
  2. Offer legal advice and support on various legal activities, including reviewing and providing markups on agreements drafted internally and by third-party organizations.
  3. Advise on renewable energy and power generation regulatory frameworks in Asia
  • Contract Drafting and Negotiation:
  1. Draft and negotiate simple and complex contracts,
  2. Ensure contracts adhere to legal requirements, protect the company's interests, and align with industry best practices.
  • General Legal and Compliance Matters:
  1. Advise on general business law issues and provide formal internal legal opinions.
  2. Manage legal issues across various areas of the company-including corporate matters, procurement, safety, security, insurance, regulatory compliance, and sustainability.
  3. Ensure compliance with laws and regulations in all jurisdictions of operation, including obtaining and maintaining necessary licenses and approvals.
  • External Engagement and Documentation Management:
  1. Collaborate with external law firms and legal departments of joint venture partners to minimize reliance on external legal advice and provide strategic inputs and drafting notes.
  2. Anticipate and manage legal risks associated with the business strategy and operations.
  • Compliance and Due Diligence:
  1. Ensure the Company's compliance obligations are met in all jurisdictions.
  2. Stay updated on the latest legal and compliance developments in key markets of operation.
  • Stakeholder Engagement and Investor Support:
  1. Build strong and collaborative relationships with key internal and external stakeholders.
  2. Provide investor engagement support as required.

Requirements:

  • Law degree and relevant legal qualifications.
  • Substantial experience as an in-house legal counsel, preferably within the renewable energy industry.
  • Strong knowledge of renewable energy and power generation regulatory frameworks, including expertise in agreements such as IPP, MoU, LoI, JV Agreements, Shareholder Agreements, Loan Agreements, Construction and Supply Agreements, EPC Agreements, and other industry-standard contracts.
  • Proven expertise in contract drafting and negotiation.
  • Solid understanding of general business law and compliance matters.
  • Familiarity with corporate governance and ethics.
  • Ability to manage legal risks and ensure compliance in a complex operational environment.
  • Excellent communication and interpersonal skills.
  • Strong analytical and problem-solving abilities.
  • Ability to build effective relationships and work collaboratively with internal and external stakeholders

  • Age maximum 35 years old
