A. Overall Purpose of The Job
Head of Legal & Compliance is responsible to support internal clients in the negotiation, preparation, and review of contractual agreements with customers and suppliers. This role also provide support to Legal Counsel in a wide range of tasks involving legal expertise.
Head of Legal & Compliance will work closely with All Head of Department as the Legal Counsel of Business Company
1. Contract Administrations
· Provide contract administration services to support new and existing business within the company.
· Prepare, review, and negotiate standard and non-standard customer and agreement contracts with third party.
· In collaboration with Legal Counsel, oversee the creation and maintenance of contract templates and procedures.
· Support internal clients by ensuring that the contracting process is efficient and a positive experience for clients.
· Continually improve the efficiency of GEM’s contracting process while maintaining quality and consistency of contracts across the organization, following relevant best practices.
2. Providing and Assist for Legal Support for company new Business.
· Provide legal support to the business and assist Legal Counsel in a wide range of tasks and projects such as:
a. Drafting and revising correspondence to and from the Legal Department.
· Corporate litigation, insurance renewals, as well as regulatory and compliance issues.
· Intellectual property application and monitoring. Privacy and security incidents/breaches support.
· Human Resources support.
· Immigration research, documentation, and support for expatriate license.
· Process and maintaining credentialing for all facilities, operations, equipment and obtaining related permits.
· Obtaining any permit should it is required.
· Expatriate documentations
· Undertake regular reviews of compliance with internal protocols and external regulatory requirements, and report to management any deficiencies and risks.
· Plan and control all compliance aspect in the organizations to support decision making process to achieve company objective.
Required Skills and Knowledge
· Having knowledge of Legal Review, Legal Drafting, Legal Opinion
· Law and Government — Knowledge of laws, legal codes, precedents, government regulations.
Clerical — Knowledge of administrative and clerical procedures and systems such as managing files and records, designing forms, and other office procedures and terminology.
· Independent self-starter who does not need hand holding to accomplish tasks and set priorities.
· Minimum 5 years’ experience working as Legal & Compliance.
· Working experience in Medical Insurance Industry is an advantage
